These Terms & Conditions ("Terms") govern access to and use of Shortsale Genie™ ("the Service"), a product of The Collective Software Group LLC ("Company," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms & Eligibility

By registering, signing in, or otherwise accessing the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and (if acting on behalf of an organization) have authority to bind that organization. If you do not agree, you may not use the Service.

2. Service Scope

Shortsale Genie™ is a Software-as-a-Service ("SaaS") platform providing document automation and workflow tracking for real estate professionals engaged in short sale transactions. Functionality includes intake, document collection, generation of transaction paperwork (SSSA, ALTA Settlement Statement, Buyer-Paid Amendment, HUD-1, cover sheets), file assignment, milestone tracking, and administrative reporting.

3. Legal & Real Estate Disclaimers

Important — please read carefully:

  • Shortsale Genie™ is a software utility. It does not provide legal, tax, accounting, or financial advice. Any content, template, or generated document is provided for convenience only and must be reviewed by a licensed professional before execution.
  • Shortsale Genie™ does not negotiate short sales on behalf of users, homeowners, or any other party, and does not guarantee lender approval, debt forgiveness, deficiency waivers, closing outcomes, timelines, or any other transactional result.
  • The Service is not a law firm, licensed real estate broker, mortgage servicer, title company, or settlement agent.

4. User Responsibilities & Licensing Compliance

  • Maintain the confidentiality of your login credentials and never share your account.
  • Provide accurate, current, and complete information for each file.
  • Upload only documents you are legally authorized to store and share.
  • Hold and maintain any real estate license, certification, or authorization required by your state or jurisdiction to perform the activities you conduct through the Service.
  • Comply with all applicable laws, including RESPA, GLBA, state real-estate statutes, fair housing laws, and consumer-protection rules.
  • Obtain and preserve any homeowner authorizations required before sharing NPI with a mortgage servicer or third party.

5. Subscription Billing, Auto-Renewals & Cancellation

Paid plans are billed in advance on a monthly or annual cycle at the rate shown on the pricing page at the time of purchase. Subscriptions automatically renew at the end of each billing period at the then-current rate unless you cancel before renewal.

  • You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
  • Fees already paid are non-refundable except where required by law.
  • We may change pricing on prospective renewals with reasonable prior notice.
  • Failed payments may result in suspension of access until the balance is cleared.

6. Administrative Support Access (Impersonation Notice)

To provide technical support and repair user files, authorized Company administrators may use a controlled impersonation feature that lets them view the Service from your perspective. Any action performed during impersonation is written to an immutable audit log identifying the administrator, the impersonated user, the action, and the timestamp. Impersonation is used solely for support, security, and compliance purposes. By using the Service you consent to this administrative access.

7. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. The Company shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost data, or business interruption arising out of or related to your use of the Service. The Company's aggregate liability under these Terms will not exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

8. Intellectual Property & Proprietary Rights

The Service — including but not limited to all software, source code, object code, application logic, algorithms, servicer-matching logic, fee-calculation formulas, user interfaces, visual design, page layouts, workflows, document templates (SSSA, ALTA, HUD-1, Buyer-Paid Amendment, cover sheets, cheat sheets, follow-up scripts), AI prompts, database schema, trademarks, service marks, logos, and documentation — is the exclusive property of The Collective Software Group LLC and is protected by United States and international copyright, trademark, trade secret, and other intellectual-property laws. All rights not expressly granted are reserved.

Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business use in connection with lawful short-sale transactions. This license terminates automatically upon any breach of these Terms.

You retain ownership of the content and documents you upload; by uploading, you grant the Company a limited license to host, process, transmit, and display that content solely to operate the Service on your behalf.

9. Prohibited Uses

You agree that you will NOT, and will not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the Service or any portion of it.
  • Reverse-engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Service, except to the limited extent this restriction is expressly prohibited by applicable law.
  • Scrape, crawl, spider, harvest, data-mine, or use any automated means (bots, scripts, headless browsers, AI agents) to access, extract, index, or collect data from the Service without prior written permission.
  • Circumvent, disable, or interfere with any security, authentication, rate-limiting, or access-control feature of the Service.
  • Rent, lease, resell, sublicense, distribute, or otherwise commercially exploit the Service or provide it to third parties as a service bureau or hosted offering.
  • Use the Service, its templates, workflows, or outputs to design, develop, train, benchmark, or improve any competing product, platform, or machine-learning model.
  • Remove, obscure, or alter any copyright, trademark, watermark, or other proprietary notice.
  • Upload malicious code, viruses, or content that infringes intellectual-property, publicity, or privacy rights of others.
  • Use the Service to violate any law, regulation, or third-party right, including RESPA, MARS/Regulation O, GLBA, TCPA, or fair-housing statutes.

10. Confidentiality & Trade Secrets

The non-public elements of the Service — including its business logic, calculation engines, servicer databases, AI prompt libraries, roadmap, pricing structures not publicly posted, and internal documentation — constitute confidential information and trade secrets of The Collective Software Group LLC. You agree to protect such information with at least the same degree of care you use for your own confidential information (and no less than reasonable care), and not to disclose it to any third party without prior written consent.

11. Suspension & Termination

We reserve the right, in our sole discretion and without prior notice or refund, to suspend, restrict, or terminate your account and access to the Service for any violation of these Terms, including (without limitation) non-payment, credential sharing, automated scraping, reverse-engineering attempts, fraud, abusive conduct, misuse of the impersonation or AI features, or activity that risks harm to other users, the Service, or the Company. Upon termination, your license to use the Service ends immediately, and Sections 3 (Disclaimers), 7 (Limitation of Liability), 8 (Intellectual Property), 9 (Prohibited Uses), 10 (Confidentiality), and any other provisions that by their nature should survive, shall survive.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated in the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Grainger County, Tennessee, and you consent to personal jurisdiction and venue there.
